SERVICE AGREEMENT

Lauren Serra, LLC (“LS”), in performance of the foregoing Agreement, will perform a combination of the following services to The Client. The services performed by LS will be agreed upon by LS and The Client prior to beginning any work.

 

Brand Strategy

The Brand Strategy may include the following services:

  1. Cost Estimation: Prior to beginning work, LS and The Client will outline the scope of work required. LS will provide The Client with a quoted cost estimation based on the current hourly rate of LS ($125/hour). This estimation is based on the scope of work with 2 rounds of revisions. This quoted cost estimate is not reflective of the actual cost of services, and The Client is responsible for payment even if the final total exceeds the quoted cost estimation. The actual cost of services will be calculated based on the number of hours worked multiplied by the current hourly rate of LS ($125/hour).

  2. Client Involvement & Collaboration: The creation and development of the Brand Strategy is a collaborative effort between LS and The Client. In addition to providing LS with all existing brand assets (including but not limited to existing logo files and illustrations, existing brand standards, and existing samples of marketing assets and branded content), The Client is responsible for completing the Brand Discovery worksheet and returning to LS by the agreed-upon deadline. In addition, The Client is responsible for maintaining timely communication and feedback with LS in order to produce the Brand Strategy in the desired time frame.

  3. Brand Development: The Brand Strategy development will include three categories:

    1. Brand Strategy + Messaging:

      • Mission & Values. Creation and refinement of Brand Mission & Values. Includes a 1-3 sentence brand mission statement, outline of the key brand values, intentions, and/or aspirations, and short descriptions on how the brand executes (or plans on executing) this mission through their product(s) / service(s).

      • Personality. Development of the key elements of the Brand Personality. This includes a list of personality adjectives that LS and The Client agree define the personality of the brand for use in marketing assets and brand communications.

      • Communications / Messaging. Creation and refinement of Brand Communications / Messaging. This outlines the Key Communication Points and Brand Voice for The Client to use in marketing assets and brand communications.

    2. Brand Elements:

      • Logo. Outline of proper logo use, including any additional logo marks (if applicable).

        • Any existing brand logos & illustrated marks are to be provided to LS by The Client.

        • If applicable, LS will assist in the development of the Logo and any Logo Marks. LS is not responsible for the trademark of The Client’s logo design or any other branding elements.

      • Typography. Overview of brand Typography and Typographic Hierarchy.

        • Any existing brand typography are to be provided to LS by The Client.

        • If applicable, LS will assist in development of Brand Typography and Typographic Hierarchy for the brand. LS is not responsible for the purchasing or licensing of any chosen typography fonts or elements, and is not to be held responsible for any misuse of typographic elements.

      • Brand Colors. Development of Brand Color Palette.

        • Color palette overview will include (1) color samples, (2) color name, (3) color codes in CMYK, RGB, and HEX.

      • Brand Elements. Additional brand elements (if applicable)

        • Should LS recommend a brand element, The Client is responsible for proper licensing, purchasing, and/or development of the brand element. LS is not to be held responsible for the trademark or misuse of any brand elements.

    3. Brand Application: LS will outline how the brand can be applied to marketing assets, including - but not required or limited to - print assets, email template / graphics, social media graphics, website design, and brand communications / copy. Along with input from The Client, LS will determine which Brand Applications are most logical and beneficial to include.

  4. Creation The Brand Book: The Brand Book is a comprehensive PDF document that outlines and organizes all of the work completed in the Brand Strategy development. The Brand Book features three sections: (1) Brand Strategy + Messaging, (2) Brand Elements, and (3) Brand Application. The purpose of the Brand Book is to serve as a resource to The Client and guide future brand and marketing initiatives and/or collaborations.

  5. Brand Strategy Client Deliverables: At the conclusion of the Brand Strategy process, the Client will receive and have access to the following documents:

    • The Brand Discovery worksheet (completed by The Client)

    • The Brand Book

    • Logo Files (in JPEG, PNG, and EPS formats)

    All deliverables will be provided through Dropbox or Google Drive. The Client is strongly encouraged to download and save these files upon completion of The Service Agreement. LS is not responsible for retaining any files after The Service Agreement is concluded.


Squarespace Website

Squarespace Website (“Website”) design and development includes the following services:

  1. Cost Estimation: Prior to beginning work, LS and The Client will outline the scope of work required. LS will provide The Client with a quoted cost estimation based on the current hourly rate of LS ($125/hour). This estimation is based on the scope of work with 2 rounds of revisions. This quoted cost estimate is not reflective of the actual cost of services, and The Client is responsible for payment even if the final total exceeds the quoted cost estimation. The actual cost of services will be calculated based on the number of hours worked multiplied by the current hourly rate of LS ($125/hour).

  2. Build-out of a template-based Squarespace Website: Squarespace websites are to be built and designed via a Squarespace template. LS will build the Website for The Client with the Free Trial setting provided by Squarespace. The Squarespace website will be built based off of the Brand Strategy created by LS -or- provided to LS by The Client.

  3. Website requirements and services: There are a number of additional items that must be completed by The Client in order to have a functioning Website. There are some requirements and services LS may be able to assist with, but many that The Client will need to attend to personally or with the help of a third party professional. The following list includes the items that will require The Client’s attention:

    • Website Content. The Client is responsible for providing all content required for the build out of the Website. Upon request, LS will provide The Client with a guide to help The Client create and organize this information. LS can assist in the creation or oversight of the creation of any of the website content, including but not limited to site copy and/or the creation or sourcing of media, at the current hourly rate of LS ($125/hour). LS is not responsible for the outcome of the work provided by any third-party. LS is not responsible or liable for the licensing, misuse, or any other legal repercussions of any content created by LS, a third-party, and/or provided by The Client.

    • Squarespace billing and hosting. LS will build the Website for The Client with the Free Trial setting provided by Squarespace. Upon completion of The Service Agreement, LS will transfer ownership of the Website to The Client. LS is not responsible or liable for the execution or coordination of any portion of the payment or billing process. LS will not be held responsible for any site damage, changes, or termination after the website has been transferred to The Client.

    • Custom Brand Domain / URL. LS is not responsible for the purchasing or connection of The Client’s domain name, URL, or any related assets. LS is not responsible or liable for any licensing, maintenance, or any other acts related to The Client’s domain or website connectivity.

    • Stock Images / Media. LS may assist in the sourcing of Stock Images or Stock Media at the current hourly rate of LS ($125/hour). LS is not responsible for providing payment or proper licensing for use of stock images and/or stock media, and is not responsible or liable for misuse of any stock images and/or media or any content provided by The Client for use on the Website.

    • Custom Development: Although the Squarespace platform provides LS and The Client with a vast amount of flexibility to customize the website to The Client’s preference and brand standards, due to the template-based nature of Squarespace, there are of course design limitations. Should The Client request custom design, LS will attempt to handle the custom development and/or coordinate the work with a third-party Developer. LS is not responsible for the outcome of the work provided by the Developer, and/or any damage that may occur to the Squarespace website as a result of using custom code and/or working with the Developer.

    • Website Maintenance. LS is not responsible for maintenance of the Website after the Website has been transferred to The Client. Squarespace has an excellent Customer Service team that will be able to provide assistance to The Client if needed. LS is not responsible or liable for any site damage, changes, or termination after the website has been transferred to The Client.

    • Website Future and Unforeseen Events. Once the Website has been transferred to The Client, LS is released of all responsibility and liability for the future of the Website and services provided by Squarespace Inc. Should any unforeseen events occur to the Website or to Squarespace Inc, LS is released from any and all responsibility and/or liability.


Graphic Templates & Marketing Materials

Custom Graphic Templates (“Graphics”) and Marketing Materials (“Marketing”) design and development includes the following services:

  1. Cost Estimation: Prior to beginning work, LS and The Client will outline the scope of work required. LS will provide The Client with a quoted cost estimation based on the current hourly rate of LS ($125/hour). This estimation is based on the scope of work with 2 rounds of revisions. This quoted cost estimate is not reflective of the actual cost of services, and The Client is responsible for payment even if the final total exceeds the quoted cost estimation. The actual cost of services will be calculated based on the number of hours worked multiplied by the current hourly rate of LS ($125/hour).

  2. Graphics on Canva or Canva for Work: LS may design and build a collection of ready to use templates on a Canva or Canva for Work account. LS and The Client will decide in advance what Graphic Templates will be required by The Client.

    • Canva or Canva for Work Account: LS is not responsible for the creation, maintenance, or billing of your Canva or Canva for Work account. Should The Client choose to pay for a Canva for Work account, the account must be created prior to the start of the Graphics services. The Client must provide LS with login credentials prior to the start of the Graphics services (temporary password recommended). If The Client chooses to setup a Canva for Work account, LS services can also include:

      1. Setup of Brand Kit (Canva for Work ONLY)

        • Color palette

        • Typographic hierarchy

        • Logo variations in PNG format

      The Client should note that if they choose to use the free version of Canva (“Canva Free”), there are some limitations that will occur to the design and creation of the Graphics. LS will provide the following solutions to the following limitations:

      • Custom brand fonts. Canva Free does not allow use of custom brand fonts OR uploading of custom fonts to the Brand Kit. LS will find the closest near-match to The Client’s brand fonts for the templates.

      • Custom brand colors. Canva Free limits the Brand Kit color palette to three (3) custom colors. LS will use best discretion to decide on the three (3) brand colors that will be best utilized in the templates.

      • Brand Logos. Canva Free does not allow logos to be uploaded to the Brand Kit. LS will include logos in the template designs, and will instruct The Client on how to upload their logos for future in-house template creation.

  3. Additional Graphics requirements and services:

    • Account setup and billing. Setup of Canva Free or Canva for Work Account is at the responsibility of The Client and must be completed prior to beginning Graphics services. Upon completion of the Graphics service in The Service Agreement, The Client is responsible for changing or updating login credentials. LS is not responsible or liable for the execution or coordination of any portion of the account setup, payment or billing process. LS will not be held responsible for any Graphics damage, changes, or termination after the Graphics services have concluded.

    • Stock Images / Media. LS may assist in the sourcing of Stock Images or Stock Media. LS is not responsible for providing payment or proper licensing for use of stock images and/or stock media, and is not responsible or liable for misuse of any stock images and/or media or any content provided by The Client for use in the Graphics.

    • Templates Maintenance. LS is not responsible for maintenance of the Graphics after the Graphics service has been completed. Canva Free and Canva for Work has an excellent Customer Service team that will be able to provide assistance to The Client if needed. LS is not responsible or liable for any damage, changes, or termination of the templates after the Graphics service has been completed.

    • Platform Future and Unforeseen Events. Once the Graphics service has been completed, LS is released of all responsibility and liability for the future of the templates, Canva Free and/or Canva for Work platforms, and services provided by Canva. Should any unforeseen events occur to the templates or to Canva, LS is released from any and all responsibility and/or liability.

  4. Marketing build-out and delivery: LS and The Client will agree upon the Marketing Materials to be designed, built, and delivered to The Client. File and Delivery Format will be determined by the type of Marketing asset created, and agreed upon prior to beginning the project. The Client is strongly encouraged to download and save these files upon completion of The Service Agreement. LS is not responsible for retaining any files after The Service Agreement is concluded.

  5. Printing: LS is not responsible for the printing and/or delivery of any of the Marketing or Graphic assets. LS is not responsible or liable for the final product outcome and/or delivery.


Training

The Training (“Training”) includes the following services:

  1. Cost Estimation: Training sessions are billed at the current hourly rate of LS ($125/hour). Each video session is scheduled for 1 hour, but can be adjusted to meet the client’s needs.

  2. Live video Training sessions with Recording: All video sessions will be scheduled at the start of The Service Agreement by LS and The Client. Rescheduling of Video Training Sessions must be done prior to one week (7 days) of the scheduled date and time, or The Client may be subjected to a $50 rescheduling fee. Each video session will be held over Google Hangouts. The video training sessions may cover the following material:

    • Squarespace Website Tutorial. Includes a screen-share tutorial and walkthrough of the following Squarespace website features:

      • Admin Overview: Login, accessing and updating billing/account settings, adding and editing custom domain/URL settings, adding and editing users/permissions

      • Homepage Overview: Editing and adding headers, subheaders, copy, images, graphics, and popups + promotions bar.

      • Product Page Overview: Adding/editing a product, removing a product, changing product details, adding featured products, and reordering product display.

      • Contact Page Overview: Editing contact form blocks, editing the map / location address, adding a newsletter / sign-up block, and changing contact form destination.

      • General Page Overview: Adding and designing pages, using blocks / templates, introduction to the Squarespace Help Center.

    • Canva Templates Tutorial. Includes a screen-share tutorial and walkthrough of the following Canva Free or Canva for Work features:

      • Brand Kit Overview (Canva for Work ONLY)

      • Overview of Templates

      • Using and Editing Templates

      • Downloading Graphics & Marketing Assets

      • Creating and Adding New Templates

    • Open Forum or Client-Specific Tutorials. An open forum for any questions The Client has regarding their new Squarespace Website, Graphic Templates, Brand Strategy, or Marketing Materials. If The Client has a request for a training session, The Client and LS can form an agreement for custom tutorials.


Client Participation + Expectations

In order for LS to provide the aforementioned services to The Client, full participation from The Client is mandatory. The Client agrees to the following:

  • Client Communications: All client communications are to take place over email or phone. All scheduled phone conferences will be billed at the current hourly rate of LS ($125/hour). Should an in-person meeting and/or tutorial session be arranged, The Client will be billed at the current hourly rate of LS ($125/hour) for the length of the meeting and/or tutorial session, plus an additional $50/hour for travel time to and from the agreed-upon location.

  • Timeline Expectations: Prior to beginning the Service Agreement, LS and The Client will determine an appropriate Start Date and Estimated End Date for the Service Agreement. Upon selection of a Start Date, LS will provide The Client with a detailed timeline of when to expect deliverables from LS, and when completed paperwork, deliverable feedback, and payment is required from The Client.

    Upon acceptance of the Service Agreement, The Client agrees to adhere to the timeline and provide LS with all necessary information, paperwork, content, payment, and other requested content on or before 11:59pm CST on the scheduled due date. Failure to adhere to the timeline may prolong the project, causing additional costs to The Client at the current hourly rate of LS ($125/hr) and/or in total termination of the Service Agreement with no refund to The Client.

    In the event that LS should fail to adhere to the agreed upon timeline (without fault of The Client), The Client reserves the right to terminate the Service Agreement with refund for the last received payment.

  • Payment: All payments are expected in full at the agreed upon time of their due date. A 20% non-refundable deposit is due at the time of acceptance of the Service Agreement in order to secure your project in the LS client calendar. Due dates for the remainder of the payments are provided in The Client project timeline, and agreed upon with acceptance of the Service Agreement. All payments are non-refundable once submitted to LS by The Client. Failure to provide payment at the agreed upon due date may result in termination of the Service Agreement with no refund to The Client.

    Payments are to be made via QuickBooks Invoicing or via Check. All credit card payments will include an additional processing fee, at the QuickBooks processing rate. Checks must be made out to Lauren Serra, LLC and delivered within fifteen (15) business days.

  • Platforms: Unless stated in writing prior to beginning the Service Agreement, LS and The Client agree to use the following platforms during the course of the Service Agreement:

    • Squarespace - For Website design and build out

    • Canva Free - OR - Canva for Work - For graphic and marketing asset Templates

    • Adobe Suite - For graphic and marketing asset Templates

    • Google Hangouts - For all video training sessions

    • Dropbox - OR - Google Drive - For file sharing

  • File Sharing and Saving: Once the Service Agreement has concluded and all files have been delivered to The Client through Google Drive or Dropbox, LS is no longer responsible or liable for maintaining the deliverable files and/or backup copies of the deliverable files for The Client. It is strongly recommended that The Client downloads and saves a backup copy of each deliverable file once it has been received, and especially upon the conclusion of the Service Agreement.

  • Termination of The Service Agreement: With the acceptance of the Service Agreement, The Client reserves the right to terminate The Service Agreement at any time. Termination of the Service Agreement will end the service immediately, and The Client will not be responsible for any further payments. Any payments that have been received by LS are considered non-refundable. Upon termination of the Service Agreement, The Client is not entitled to any refunds for any portion of the Service Agreement. In the event of a termination of the Service Agreement, The Client will only receive final deliverables for the portions of the project that have been paid for in full. LS has the right to retain any deliverables that have not been paid for by The Client.
